Version 1.12 (2026-10-20): Medicaid proof and the payer check at move-in. Section 8.5: after a move-in we ask the home in writing how the resident pays; with no answer in 10 business days we go by the family's answer; a home that says Medicaid sends proof, and any fee is on hold until we accept it.

1. Why we’re doing this
1.1We’re a referral service. We help families, hospitals, case managers and guardians find the right assisted living home for a senior or a disabled adult. Our help never costs families anything.
1.2Your home holds an assisted living facility license from the Florida Agency for Health Care Administration (“AHCA”).
1.3We work with homes by invitation. We look for homes whose license is in good standing with AHCA and whose owners take pride in giving residents good care, honest information and a real home. We’ve invited you because we believe you’re one of them.
1.4Florida law lets an assisted living facility pay a referral service only for people who are not Medicaid recipients (section 429.195(2)(b), Florida Statutes). It is our shared intent that this agreement follow that rule completely. We are never paid, in any way, for referring a Medicaid recipient, and this agreement should always be read that way.
2. Words we use
2.1Introduction. A dated message from us to you, by text, email or through our website, that names a family contact and says we’re introducing them under this agreement. A tour we set up and confirm to you in writing also counts.
2.2Introduced Resident. The person we introduced who moves into your home, or into another home under the same license or the same owners, within the 12-month window.
2.312-month window. The 12 months after an introduction. If the person moves in during that time, the fee applies, even if the family later called you directly. In our industry this is often called a “tail period.”
2.4Monthly Rate. What you charge the resident each month for room, board and level of care, as written in their admission contract on move-in day. It does not include one-time fees, deposits, pharmacy or charges by others.
2.5Good Standing. Your license is active, and your home is not under a moratorium on admissions, an emergency suspension, a pending or final revocation or denial of its license, or a pending AHCA action to do any of these.
2.6Program Resident. An Introduced Resident who, on move-in day:
(a) has Florida Medicaid of any kind, including full Medicaid, Medically Needy, a program that helps pay Medicare costs, Statewide Medicaid Managed Care Long-Term Care or Assistive Care Services, whether or not Medicaid pays any part of your home’s bill;
(b) has a pending application for Medicaid of any kind;
(c) receives Optional State Supplementation (OSS);
(d) has any part of their care at your home paid by Medicare or by any other federal or state health care program; or
(e) is enrolled in hospice under Medicare, Medicaid or any other government program, even if the family pays your Monthly Rate. If hospice starts within 30 days after move-in, we refund any fee paid in full, and the second half is not owed.
2.7Private Pay Resident. An Introduced Resident who is not a Program Resident and whose Monthly Rate is paid with their own or their family’s money, private long-term care insurance, or other private sources. Benefits paid to the person themselves, such as Social Security, SSI or a VA pension, count as the person’s own money.
2.8Medicaid Start Date. The first day of Florida Medicaid coverage of any kind shown on the person’s approval notice, even if the notice is issued later and the coverage reaches back to an earlier date.
2.9Short Stay. A stay at your home for a person we introduced, with a start date and an end date agreed in writing before it begins, often so the person’s usual caregiver can rest or travel. It is also called respite care. Under Florida rules the guest is a resident of your home for the length of the stay.
2.10Day Stay. Care and supervision at your home during the day for a person we introduced who doesn’t live there, as section 429.905(2), Florida Statutes, allows.
2.11Guest. A person we introduced who comes to your home for a Short Stay or Day Stay. A Guest who would be a Program Resident under section 2.6 if the first day of the stay were move-in day is a Program Guest. Every other Guest is a Private Pay Guest.
2.12Stay Charges. What you charge a Guest for a Short Stay or for Day Stays, not counting one-time fees, deposits, pharmacy or charges by others.
3. What we do
3.1Your listing. Once your home is accepted, we list it on miamiplacement.com and in our system for as long as this agreement lasts. There’s no sign-up fee, listing fee or monthly fee.
3.2Helping families. We help families understand their options, suggest homes that may fit, introduce them, set up tours, and follow up with them and with you until they decide.
3.3Family privacy. We share a family’s name and contact information with you only after the family says yes. Before that, we may share the person’s needs, payment, budget and area, without a name.
3.4No rides. We don’t drive families to tours or move-ins, and we don’t arrange their transportation.
3.5Fit comes first. We suggest homes based only on the person’s needs, budget, area and wishes. Never on whether a home pays us, how much, when it signed, what other services it buys, or whether it takes Medicaid.
3.6We work for families. We’re an independent referral service. We’re not your marketer or your agent, and we won’t tell anyone that we are.
4. Your listing and our standards
4.1Honest and current. You keep your photos, rooms, open beds, rates, services, languages and admission requirements accurate and up to date. We rely on what you tell us.
4.2License in good standing. You confirm your license is in Good Standing today and you’ll keep it that way. You’ll tell us in writing within 5 business days of any suspension, revocation, moratorium or change of ownership. We check every listed home’s license with AHCA every day, and we pause a listing while a license is not in Good Standing.
4.3What we ask of every home. To stay listed, you agree to:
(a) quote families the prices shown on your listing;
(b) answer our bed checks and introductions within a reasonable time, and tell us if you decide not to admit someone we introduced;
(c) treat every family with respect, whatever their payment, and give them accurate information about your services, limits and admission requirements; and
(d) help with our follow-up calls to families after a tour or a move-in.
4.4How we review and grade homes. We may review any home using public AHCA records, our own visits, and feedback from families and professionals. If a home falls short of section 4.3, we may stop suggesting it, pause its listing, or end this agreement under section 17.3. We never make that decision because of fees, other services bought, or whether a home takes Medicaid. Separately, every home gets a letter grade under section 4.11. The grade and the rule behind it are public. Any other reason for a decision under this section stays between us and your home.
4.5Photos. You may post photos of your home, and photos that show residents, staff or visitors, only if each person who can be recognized, or that person’s legal representative (a court-appointed guardian, a health care surrogate or proxy, or an agent under a power of attorney that covers it), has given your home written permission for the photo to be posted online, and your home owns the photo or has the right to use it. You keep that written permission for as long as the photo is up and for 3 years after, and you show it to us if we ask. Never send a photo that shows a resident’s name, a medication cart, a chart, any paperwork or anything that reveals someone’s health. Each time you add photos, you confirm this by checking a box, and we keep a record of it. Your photos go up when you add them. We review all photos, and we may take down any photo at any time, without notice, if we find it inappropriate, have any concern about it, or find its quality poor, or for any other reason.
4.6Permission to show your home. You let us show your home’s name, photos and listing on our website, and on any website we build for you, while this agreement lasts. You confirm you have the right to give us that permission.
4.7Reviews. Families may review your home. You may post one public reply to each review. We remove resident and staff names and any health information before a review goes up. We never remove a review because it’s negative, and nobody, including us and you, may pay or reward anyone for a review. Your owners and staff won’t review any home.
4.8Short stays and day stays. If you choose to offer them, your listing says whether you take Short Stays, Day Stays or both; your daily rate; the shortest and longest Short Stay; the hours and days for Day Stays and how many Day Stay guests you take at once; how much notice you need; what you need before a Guest arrives; and which Medicaid long-term care plans you accept for respite. We only suggest a Short Stay when you’ve told us you have a bed open for those dates. Offering them never requires you to hold a bed, turn anyone away, or accept any Guest. You say yes or no to each request. Neither of us will call your home an adult day care center unless it holds that license.
4.9Insurance. By signing, you confirm that your home carries the liability insurance Florida requires of every licensed assisted living facility (section 429.275, Florida Statutes), and any other insurance or bond the law requires of your home, and that you’ll keep it in force at all times. You’ll send us proof of coverage whenever we ask; the proof you file with AHCA is enough. You’ll tell us in writing within 2 business days if any of it is cancelled, lapses or isn’t renewed. We’ll pause your listing and introductions until you show us it’s back in force.
4.10Hospice. Your listing says whether you admit people who are already on hospice, and whether you admit someone who is bedridden while on hospice. We only suggest your home for those cases if you answered yes or case by case. Florida lets an assisted living facility admit or keep a bedridden person only while they receive licensed hospice services, and only if you and the resident agree, a licensed hospice provides the additional care, and the resident’s doctor agrees your home can meet their physical needs (section 429.26(1)(c), Florida Statutes). Your home must also meet the fire safety standards that apply to it (chapter 69A-40, Florida Administrative Code). You always decide after your own assessment, and an answer on your listing never requires you to admit anyone.
4.11Your grade. We show a letter grade, A, B, C, D or N, for every home, including yours and Mary's House. It comes only from your home's public AHCA record, by the rule published on our How we grade page, and shows the date of the record it came from and a link to it. The same rule applies to every home, and nobody at Miami Placement changes a grade by hand or by request. Grades never change the order homes are listed in. You can ask for a recheck from your account; we then pull your record from AHCA again and grade it by the same rule. Only AHCA can change what's in its record. If we change the rule, we post the new version with its date and tell you at least 30 days before it takes effect. A grade sums up a public record. It isn't a rating of your care, and it isn't a recommendation.
4.12Taking a photo down. If a person in a photo, or their legal representative, takes back their permission, or you learn that permission was never given, you tell us within 2 business days and we take the photo down. Anyone may ask us to take a photo down using the link on every listing. We take it down within 1 business day while we look into it.
5. Introductions
5.1Our record. Our dated record of each introduction is what we both go by to decide whether a fee is owed.
5.2Already knew them? If you were already in touch with a family before our introduction, directly or through another referral service, tell us within 3 business days after our introduction and send us the dated record. Then no fee is owed for that family.
5.3Direct calls. The fee still applies if the person moves in during the 12-month window, even if the family later contacted you directly.
5.4One fee per resident. Only one fee is owed per Introduced Resident, no matter how many introductions, tours or room changes.
6. You decide who moves in
6.1Your call. Every admission is your decision. Nothing here requires you to accept anyone.
6.2Not a medical opinion. When we tell you about a person’s needs, we’re passing along what the family or their doctor told us. We’re not giving a medical opinion. You do your own assessment and the AHCA Form 1823 before deciding.
6.3Before a Short Stay or Day Stay. You decide whether a Guest is ready to come in. Florida rules treat a Short Stay guest as a resident, so you’ll need what you need for any admission, including a health assessment on AHCA Form 1823 or the practitioner’s own form within the time the rules allow; enough medicine for the whole stay, in pharmacy-labeled containers; a current medication list with allergies and the doctor’s name and phone; a do not resuscitate order on the state form, if there is one; and the resident contract. We give the family your list as soon as they choose your home. We never collect, keep or review these papers.
7. The referral fee: private pay only
7.1The amount. For each Private Pay Resident, you pay us one month of their Monthly Rate.
7.2When it’s due. Half within 10 days after move-in, and half within 10 days after the 30th day after move-in. We send an invoice for each half.
7.3Tell us about move-ins. Within 3 business days after an Introduced Resident moves in, tell us in writing the move-in date, the Monthly Rate, whether they’re private pay or a Program Resident, and whether they have, or have applied for, Medicaid of any kind.
7.4Not on the resident’s bill. You won’t add our fee, or any part of it, to the resident’s or family’s bill.
7.5Changes to fees. Fees, percentages and when fees are due can change the same way as any other part of this agreement, under section 19.2.
7.6Short Stay and Day Stay fee. For each Private Pay Guest, you pay us 10 percent of the Stay Charges the Guest actually paid you. For a Short Stay it’s due within 15 days after the stay ends. For Day Stays it’s due by the 15th of the month after the days took place. We send an invoice.
7.7If a Guest becomes a resident. If a Guest becomes a resident of your home, or of another home under the same license or owners, during a stay or within 12 months after the last day of a Short Stay or Day Stay, that person is an Introduced Resident and the fee in section 7.1 is owed, figured on the Monthly Rate on the day they become a resident. The Short Stay or Day Stay fee already paid for that person is not credited against it.
7.8Tell us about stays. Within 3 business days after a Short Stay starts, tell us in writing the start and end dates, the daily rate, and whether the Guest is a Private Pay Guest or a Program Guest. Tell us within 5 business days if a Guest stays on as a resident. For Day Stays, send us by the 5th of each month the days each Guest came and the Stay Charges paid in the month before.
8. Never on Medicaid or other government programs
8.1No fee, on any part. No fee or anything of value is owed or accepted for a Program Resident, on any part of their bill, including any part the resident or family pays, whether at once or in installments.
8.2We ask up front. At intake we ask every family how they will pay, and whether the person has Medicaid of any kind, even just for doctor visits or help with Medicare costs, or has applied for it. We tell you what they said. If the answer is yes, the person is a Program Resident and no fee is ever owed.
8.3If Medicaid starts soon after move-in. If a Private Pay Resident is approved for Florida Medicaid of any kind with a Medicaid Start Date on or before the 30th day after move-in, we refund any fee paid in full, and the second half is not owed, even if the approval comes months after move-in. If the Medicaid Start Date is after the 30th day, or the application is denied or withdrawn, the fee stands, because the person was private pay when we introduced them and when they moved in.
8.4Help for Medicaid families is separate and costs them nothing. We may help Medicaid families find a home at no cost to them. You don’t have to accept anyone, you never pay or give anything for these introductions, and your choice never affects your listing or any fee.
8.5Tell us about Medicaid, and show us. When a resident we introduced moves in, we will ask you in writing how the resident pays and whether they have Medicaid of any kind or have applied for it. If you don't answer within 10 business days, we go by what the family told us, and if the family wasn't sure, we treat the resident as private pay. If you learn, during the first 12 months after a Private Pay Resident moves in, that the person has applied for or been approved for Medicaid of any kind, tell us in writing within 10 business days, with the Medicaid Start Date once you know it. Whenever you tell us a resident has Medicaid of any kind, send us proof, such as the approval notice, the Medicaid card or a letter from the long-term care plan, showing the type of coverage and the start date. Cover everything else, including any card or member number. Until we accept the proof, any fee for that resident is on hold, not waived. Once we accept it: if the person had Medicaid of any kind when we introduced them, no fee is owed (section 8.1) and we refund anything paid; if not, section 8.3 decides. To get a refund under section 8.3, ask within 90 days after the approval notice is issued.
8.6Stays follow the same rule. No fee is ever owed on a Program Guest, or on any Stay Charges paid in any part by Medicaid, a Medicaid long-term care plan, or any other government health program, even if the family pays the rest. Medicaid long-term care plans cover respite and adult day health care, so those stays never carry a fee.
9. If a resident leaves early
9.1Refunds. If a Private Pay Resident moves out, is discharged or passes away:
(a) within 30 days after move-in, we refund everything you paid for that resident, and the second half is not owed;
(b) from day 31 to day 60, we refund half the fee; and
(c) after day 60, there is no refund.
9.2How to ask. Ask us in writing within 30 days after the resident leaves, with the move-out date. We pay the refund within 30 days, or credit it toward a future fee if you prefer.
9.3Not leaving. A change of room or level of care, or a move to another home under the same license or owners, doesn’t count as leaving.
9.4Short stays and day stays. The refunds in this section don’t apply to Short Stay or Day Stay fees. Those fees are only on what the Guest actually paid, so if a stay ends early, the fee is smaller.
10. Records
10.1What to keep. For each Introduced Resident and each Guest, keep the move-in, move-out and stay dates, the Monthly Rate on move-in day, the Stay Charges, whether they were private pay, a Program Resident or a Program Guest, and any Medicaid Start Date, for 3 years. Share them with us within 10 business days if we ask, only to confirm a fee or a refund.
10.2No medical records. We never ask for medical records, care plans or medication lists, and you shouldn’t send them.
10.3Checking in. We may call families about 30 and 90 days after a move-in to see how it’s going, confirm dates, and ask how the stay is being paid.
11. Paying us
11.1How to pay. Pay by credit or debit card, bank transfer (ACH) or check, made out to Recarey, LLC or Miami Placement. Card payments go through our secure payment processor, Stripe. We don’t add a fee for paying by card.
11.2Late payments. Any amount not paid on time adds a late charge of 1.5% per month, or the highest rate the law allows if that is lower, until paid.
11.3Pause. If an invoice is more than 30 days past due, we may pause new introductions until you’re caught up. Your listing can stay up.
11.4Collection costs. If we have to collect a past-due amount, you’ll cover our reasonable costs, including attorney fees, as allowed by section 19.7.
11.5Questions about an invoice. If you disagree with an invoice, tell us why in writing within 10 days and pay any part you don’t question. We’ll work it out together in good faith within 30 days.
12. Privacy and confidentiality
12.1Family information. You use what we share about a family only to decide on and carry out an admission. You never sell it, use it for marketing, or share it with anyone but the staff who need it.
12.2Keeping it safe. You protect family information with reasonable safeguards, as section 501.171, Florida Statutes, and any other law that applies to you require.
12.3Deleting it. If the person doesn’t move in, you delete what we sent you within 30 days after the family decides, unless the law requires you to keep it.
12.4If something leaks. Each of us tells the other in writing within 2 business days of learning that family information we shared was seen or released without permission, and we work together to handle it.
12.5Not a business associate agreement. We don’t do work for your home involving protected health information under HIPAA, and this is not a business associate agreement. If either of us later finds one is required, we’ll sign it before any such information is shared.
12.6Confidential information. This means non-public information one of us gets from the other under this agreement. Ours includes the terms and fees of this agreement; our software, website tools, forms, scripts and messages that aren’t public; how we match families with homes, check open beds, make introductions and follow up; the homes we work with and their unpublished beds and rates; family information; and our business plans and pricing. Yours includes your home’s non-public business, financial and operating information.
12.7Using and protecting it. Each of us uses the other’s confidential information only for this agreement, protects it with reasonable care, and shares it only with our own owners, employees, lawyers, accountants and advisors who need it and are bound to keep it private. Each of us is responsible for anyone we share it with.
12.8No copying. You won’t copy, reverse engineer, scrape or resell access to our website, system, forms or content, won’t share your login outside your home, and won’t use our confidential information, methods or materials to build, run or help any other referral service or directory.
12.9What isn’t confidential. Information that is public through no fault of the person receiving it, that they already knew or developed on their own, or that they got lawfully from someone else. Either of us may share confidential information when the law, a subpoena or a regulator requires it, after telling the other first when the law allows.
12.10Reporting is always allowed. Nothing in this agreement stops either of us from reporting a concern to AHCA, the Department of Children and Families, the Florida Abuse Hotline, law enforcement or any government agency, from helping with an investigation, from talking with a family about their own care, or from telling anyone that homes pay Miami Placement a referral fee.
12.11How long it lasts. These duties last while this agreement is in place and for 3 years after it ends. Trade secrets stay protected for as long as they remain trade secrets under chapter 688, Florida Statutes. Family information stays protected for as long as it is kept.
12.12Stopping misuse. Misusing confidential information can cause harm that money can’t fix, so the harmed side may ask a court to order it stopped, along with any other remedy.
13. Being open with families, and fair dealing
13.1How we’re paid. We tell every family that our help costs them nothing, that homes pay us a referral fee when a private pay person we introduced moves in or comes for a short stay or day stay, and that no home pays us for Medicaid families or for anyone on hospice through Medicare or Medicaid, whom we still help at no cost.
13.2Mary’s House. Miami Placement is run by Jorge Recarey, a licensed assisted living facility administrator who also runs Mary’s House ALF in Miami-Dade County and has a personal interest in it. We tell families this. Mary’s House is listed under the same rules as every other home.
13.3Only the referral fee. Other than the referral fee and any separate agreement under section 13.5, you won’t pay or give us, and we won’t ask for or accept, any commission, bonus, gift, rebate, discount or anything else of value connected to any family or referral.
13.4Our people. You won’t pay or give anything of value to our employees, representatives or contractors, and you’ll tell us if any of them ever asks.
13.5Other services. We may offer your home ancillary services not related to referrals, such as a website, secure fax lines, staff training or compliance software. Each comes at one flat price that is the same for every home, under its own separate agreement. Buying or not buying any of them never affects your listing, our suggestions, introductions or fees.
13.6Not exclusive. You can work with any other referral service and take residents from anywhere. We can work with any other home.
13.7Hospice companies. Neither of us will pay or give anything of value to a hospice, or ask for or accept anything of value from one, for referring a family or for choosing that hospice. We never steer a family to a particular hospice. The family and their doctor choose. Listing the hospice companies you work with is only so families know.
14. Texts and messages
14.1Bed checks. We’ll text the cell number on the signature page to ask about open beds, when a bed opens and until when, and rates, on the schedule you choose, only between 8:00 a.m. and 8:00 p.m. Eastern Time. Message and data rates may apply. We may ask you to reply YES to our first text to confirm.
14.2If you’d rather not get texts. Reply STOP any time. Then just keep your open beds updated on your page on our website. Stopping texts doesn’t end this agreement.
14.3Other messages. You agree to get introductions, tour reminders, invoices and notices by email and text at the contacts on the signature page.
15. Following the law
15.1Both of us follow the law. Each of us follows every law that applies to what we do under this agreement, including chapter 429, Florida Statutes, and chapter 59A-36, Florida Administrative Code; section 817.505, Florida Statutes; the federal Anti-Kickback Statute, 42 U.S.C. § 1320a-7b(b), where it applies; section 501.171, Florida Statutes; and HIPAA, where it applies.
15.2If the law changes. If a change in the law, a ruling, written guidance from a regulator, or written advice from either side’s lawyer shows that any part of this agreement may be unlawful, we’ll work together in good faith to fix it. If we can’t agree within 30 days, either of us may end the agreement in writing. Nothing unlawful is ever owed or paid.
16. Responsibility
16.1Independent businesses. We’re independent businesses. This agreement doesn’t make us partners, joint venturers, employer and employee, or agents of each other, and neither of us can make promises for the other.
16.2Each side covers its own mistakes. Each of us will defend and cover the other, and the other’s members, managers and employees, against claims, losses and costs, including reasonable attorney fees, to the extent caused by our own breach of this agreement, our own negligence or misconduct, or our own violation of the law.
16.3Resident care. Your home is fully responsible for the care, services and safety of its residents and Guests, for its staff and premises, and for every decision about whom to admit or keep. We’re a referral service. We don’t provide care, and we don’t supervise or inspect your care. We aren’t responsible for anything your home or staff do or fail to do.
16.4Limits. Except for sections 12, 16.2, 16.5 and 16.6, neither of us is responsible to the other for lost profits or indirect damages. Our total responsibility under this agreement won’t be more than the fees you paid us in the 12 months before the claim.
16.5Claims about care. Your home will defend and cover us, and our members, managers and employees, against claims, losses and costs, including reasonable attorney fees, brought by a resident, a Guest, a family or anyone else, that come from your home’s care, services, staff, premises or admission decisions, or from any gap in your license or insurance, except to the extent caused by our own negligence or misconduct. This lasts after this agreement ends.
16.6Photos and what you send us. Your home will defend and cover us, and our members, managers and employees, against claims, losses and costs, including reasonable attorney fees, that come from any photo, name or other content your home gives us, including any claim that a person did not give permission, except to the extent caused by our own negligence or misconduct. This lasts after this agreement ends.
17. How long it lasts and how it ends
17.1Length. This agreement lasts one year from the Effective Date and renews on its own each year.
17.2Ending it any time. Either of us may end it at any time with 30 days’ written notice.
17.3Ending it right away. Either of us may end it right away in writing if the other seriously breaks it and doesn’t fix the problem within 10 days after written notice, or if your license is revoked or not renewed. We may also end it if your home no longer meets section 4.3, or the insurance in section 4.9 lapses, and the problem isn’t fixed within 10 days after written notice.
17.4After it ends. Fees for introductions made before it ended, for anyone who moves in within the 12-month window, still apply. Sections 8 to 12, 16 and 19 also keep applying. We’ll take your listing down within 10 business days.
18. Notices
Notices must be in writing. They count when sent by email to the addresses on the signature page, or when delivered by hand, courier or certified mail to the mailing addresses there. A text counts only if the other side confirms it in writing. Either of us can change our contact details by notice to the other.
19. General terms
19.1Whole agreement. This is our whole agreement on this subject and replaces anything said or written before.
19.2Changes. We may change any part of this agreement, including any fee, any percentage or when fees are due, by sending you the new version and a written notice at least 30 days before it takes effect. You may approve it sooner. If you don’t agree with it, you may end this agreement by written notice before it takes effect, and the 30 days’ notice in section 17.2 doesn’t apply. If you don’t end it, the change takes effect on that date. Introductions and stays made before a change stay under the version in effect when they were made. Each version has a number and a date. We keep a record of the version you signed and of every notice we sent you, and you can read the current version and earlier ones at miamiplacement.com/for-homes/agreement/.
19.3Transfers and new owners. Neither of us may transfer this agreement without the other’s written okay, except that we may transfer it to a company we control or to a buyer of the Miami Placement business. If your home is sold, tell us before the sale. Fees for introductions made before the sale are still owed by you.
19.4If part doesn’t hold up. If a court finds any part invalid, that part is limited or removed only as much as needed, and the rest stays in effect.
19.5No waiver. If either of us doesn’t enforce something right away, we can still enforce it later.
19.6Florida law. Florida law governs this agreement. Any lawsuit about it will be filed only in the state courts in Miami-Dade County, Florida.
19.7Attorney fees. In any lawsuit to enforce or explain this agreement, the side that wins may recover its reasonable attorney fees and costs, including on appeal.
19.8Electronic signatures. This agreement may be signed electronically and in separate copies. Electronic signatures and records count the same as originals under section 668.50, Florida Statutes, and the federal ESIGN Act.
19.9English and Spanish. This agreement comes in English and Spanish, and you may sign the one you prefer. Both say the same thing. If they ever differ, the English version controls.
19.10Authority. Each person signing confirms they are allowed to sign for their side.
19.11Plain language. We wrote this agreement in plain language on purpose. Headings are only for convenience, and it won’t be read against either of us as the writer.
Founding Home addendum
If your home is one of the first 100 homes to sign this agreement, we’ll also give you your own website, built from what you load on Miami Placement, with no website fee for as long as this agreement lasts. Being a Founding Home never changes how your home is listed, ranked or suggested to families, and it doesn’t depend on any introduction, admission or fee.
